General Terms and Conditions Zenderbaas BV<\/b><\/p>\n

Welcome to Zenderbaas BV! With our innovative solutions we transform waiting time into valuable moments. In these Terms and Conditions, we clearly lay out what you can expect from us and what we ask of you. Do you have any questions? 1. General<\/b><\/p>\n

1.1. These terms and conditions apply to all agreements between Zenderbaas BV (hereinafter “Zenderbaas”) and our business customers.
1.2. Deviations from these terms and conditions are only valid if they are recorded in writing.
1.3. In case of contradictions between documents (e.g. offers and these terms and conditions), these General Terms and Conditions shall prevail, unless otherwise agreed.
1.4. If any provision is found to be invalid, the remaining provisions shall remain in full force and effect.
1.5. The rights and obligations arising from these terms and conditions may not be assigned without our written consent.
1.6. Zenderbaas reserves the right to amend these terms and conditions in the event of changes in laws or regulations. Customers will be notified in writing at least 30 days in advance so that they may prepare accordingly. <\/p>\n

2. Our Services<\/b><\/p>\n

2.1. Zenderbaas provides narrowcasting and digital signage services, including hardware (such as screens and players), software and additional services such as content management.
2.2. The equipment we provide remains the property of Zenderbaas unless otherwise agreed in writing.
2.3. You are responsible for the proper use of our equipment. Report damage or defects to us immediately at info@zenderbaas.nl or 050 200 3275.
2.4. We reserve the right to modify our services, prices or specifications. You will be notified at least 30 days in advance.
2.5. Zenderbaas is not responsible for loss of profits or other damages caused by technical failures or force majeure. <\/p>\n

3. Contract Term and Termination.<\/b><\/p>\n

3.1. Our contracts have an initial term of 24 months and then automatically renew for 12 months.
3.2. Termination can be done in writing with two months’ notice before the end of the current period.
3.3. Upon early termination, you will pay the remaining contract value.
3.4. After termination of the contract, we ask you to return our equipment within 14 days. If this is not done, we reserve the right to charge a replacement fee or report you to the police for failure to communicate or settle.
3.5. We may terminate the contract in the following cases: <\/p>\n

    \n
  • For non-payment (more than three months in arrears).<\/li>\n
  • For misuse of our equipment or services.<\/li>\n
  • In case of bankruptcy or liquidation of your company.<\/li>\n<\/ul>\n

    3.6. If the customer fails to return equipment or refuses access after termination of the contract, Zenderbaas reserves the right to charge replacement costs, storage costs and legal fees in addition to reporting to the police. 3.7 In the event of intentional damage or loss of equipment by the customer, the customer is fully liable for the replacement value, including additional legal fees and any repair costs.” <\/p>\n

    4. Installations, Access and Transportation<\/b><\/p>\n

    4.1. Our experts will provide a professional installation. We request timely and full access to the site.
    4.2. Additional costs, such as for cables or materials, will be invoiced transparently and separately.
    4.3. If an installation cannot proceed due to your fault, we will charge a \u20ac150 cancellation fee, plus any additional travel and material costs.
    4.4. Transportation of equipment is our responsibility unless you choose to transport it yourself.
    4.5. For installations and repairs we charge \u20ac50 call-out fee and \u20ac0.27 per kilometer outside a 10 km radius from the city of Groningen. 4.6 The customer is obliged to give Zenderbaas full access to the installation location. If the customer refuses access after making an appointment, Zenderbaas reserves the right to charge additional costs for lost time and additional travel expenses. <\/p>\n

    5. Liability and Complaints<\/b><\/p>\n

    5.1. We are only liable for direct damages, up to a maximum of the annual contract value.
    5.2. Zenderbaas is not responsible for indirect damages such as lost profits or reputational damage.
    5.3. You indemnify us from third party claims about content displayed through our equipment.
    5.4. If equipment is misused, we reserve the right to confiscate it without refund.
    5.5. Do you have a complaint? Let us know within 14 days at info@zenderbaas.nl. We will respond within 14 days and work together to find a solution. 5.6 Zenderbaas is not liable for damage to third parties caused by defects in the equipment, unless such damage is the direct result of intent or gross negligence by Zenderbaas. <\/p>\n

    6. Content<\/b><\/p>\n

    6.1. You are responsible for all content displayed through our equipment.
    6.2. Prohibited content includes, but is not limited to: <\/p>\n

      \n
    • Texts calling for violence or discrimination.<\/li>\n
    • Content that is offensive or contrary to public policy.<\/li>\n
    • Pornographic material is prohibited in public areas or areas where minors have access. However, it is permitted in enclosed areas where minors are not present and where the content complies with laws and regulations. <\/li>\n<\/ul>\n

      6.3. We reserve the right to remove content that does not comply with these terms, and may impose a fine of \u20ac500 per violation.
      6.4. Repeated violations will result in immediate termination of the contract.
      6.5. You may object to any fine imposed within 7 days. We will review your objection within 14 days. <\/p>\n

      6.6 The customer is responsible for compliance with local laws regarding content. This also applies when content is displayed in countries with stricter regulations than the Netherlands. <\/p>\n

      7. Maintenance, Repairs and Warranty<\/b><\/p>\n

      7.1. Warranty on rented equipment<\/b>
      As long as the customer rents equipment such as players and monitors from Zenderbaas BV, we guarantee proper operation throughout the duration of the contract. This guarantee also applies after the first year. <\/p>\n

      7.2. No charges within warranty provisions<\/b>
      For repairs or replacements covered by the warranty provisions, the customer does not pay any charges. Exceptions are repairs or replacements necessitated by: <\/p>\n

        \n
      • Improper use:<\/b> Use that deviates from normal application or manuals.<\/li>\n
      • Force majeure situations:<\/b> As defined in Article 9 (for example, natural disasters or theft).<\/li>\n<\/ul>\n

        7.3. Repair time and priority<\/b>
        Zenderbaas aims to resolve repairs within 48 hours of receiving the initial report. If this is not possible, Zenderbaas will inform the customer in a timely manner and an alternative solution will be offered, such as a temporary replacement device. <\/p>\n

        7.4. Costs Outside Warranty<\/b>
        When repair or replacement is out of warranty, such as damage due to improper use, the customer pays:<\/p>\n

          \n
        • Call-out fee:<\/b> \u20ac50 per visit, if the repair takes place after 12 months from the start of the contract.<\/li>\n
        • Mileage allowance:<\/b> For locations outside a 10 km radius from the city of Groningen, \u20ac0.27 per kilometer will be charged.<\/li>\n
        • Hourly rate:<\/b> \u20ac85 per hour, calculated in units of at least half an hour.<\/li>\n
        • Material Costs:<\/b> For parts not owned by Zenderbaas, such as routers, UTP\/data cables and other small materials.<\/li>\n<\/ul>\n

          7.5. Equipment outside Zenderbaas’ service<\/b>
          For products and solutions that are not part of Zenderbaas’ standard service (such as network equipment and routers), both repair and replacement will be charged in full to the customer at the above rates.<\/p>\n

          7.6. Exceptions to Warranty Clauses<\/b>
          The warranty is void if it appears that the damage was caused by intent, negligence or failure to comply with the terms and conditions described in these General Terms and Conditions.<\/p>\n

          8. Data and Privacy<\/b><\/p>\n

          8.1. We process your data according to the AVG (General Data Protection Regulation).
          8.2. You can exercise your right to access, correct or delete data by sending an email to info@zenderbaas.nl.
          8.3. Tracking data is only used for marketing and service optimization purposes and is securely stored within the EU.
          8.4. In the event of a data breach, we immediately notify the relevant authorities and data subjects.
          8.5. Your data is secured by encryption, access control and regular audits.         <\/span>8.6. Zenderbaas does not retain personal data longer than necessary for the performance of the contract, with a maximum retention period of five years after contract termination, unless legal obligations require otherwise. 8.7 Zenderbaas is not liable for data breaches caused by external parties, such as Subprocessors, unless they directly result from Zenderbaas’ negligence. <\/p>\n

          9. Force Majeure<\/b><\/p>\n

          9.1. We are not liable for delays or failures due to acts of God, such as natural disasters, strikes or pandemics.
          9.2. We will do our best to provide alternative solutions.
          9.3. If force majeure lasts longer than 60 days, either party may terminate the contract.       <\/span>9.4. If force majeure continues for more than 60 days, Zenderbaas reserves the right to reclaim equipment or propose alternative contract terms.<\/p>\n

          10. Sustainability and Innovation<\/b><\/p>\n

          10.1. Our equipment is designed with energy efficiency and sustainability in mind. Thus, we reduce our carbon footprint and help your business operate more environmentally consciously. 10.2. Zenderbaas aims to fully meet the highest sustainability standards by 2030, with a focus on recyclable materials, CO\u2082 reduction in the production and transportation chain, and energy-efficient technology.<\/p>\n

          11. Trademark Rights and Promotion<\/b><\/p>\n

          11.1. All rights to our name, logos and technology remain with Zenderbaas.
          11.2. You may not impersonate a representative of Zenderbaas without permission.
          11.3. Misuse of our brand name or logo will result in a fine of \u20ac5,000 per violation, plus any damages. <\/p>\n

          12. Applicable Law and Disputes.<\/b><\/p>\n

          12.1. Our cooperation is governed by Dutch law.
          12.2. Disputes will be submitted to the competent court in Groningen.
          12.3. If both parties agree, a dispute may be resolved through arbitration or mediation. 12.4. For customers outside the Netherlands, disputes are preferably resolved through arbitration in accordance with the rules of the Netherlands Arbitration Institute (NAI).<\/p>\n

          13. Price Changes and Indexation.<\/b><\/p>\n

          13.1. Annual price adjustment based on inflation<\/b>
          Zenderbaas reserves the right to adjust prices annually based on the inflation rate as determined by the Central Bureau of Statistics (CBS) or a comparable authority. This inflation correction will never exceed the official inflation rate for the previous calendar year, with a maximum of 8%. <\/p>\n

          13.2. Interim adjustments when cost structure changes<\/b>
          Zenderbaas reserves the right to adjust prices on an interim basis when unforeseen changes in the cost structure make this necessary. This may relate to: <\/p>\n
